Use of the Site.
EGS Health. (“EGS Health”, “Platform”, “Medicas”,
“we”, “us”, or
“our”) operates the website located at https://www.egs-health.com and other related websites and mobile
applications with links to these T&C’s (collectively, the
“Site”).
We offer online telehealth platform services enabling the public (“Members”) to report their health history and engage with healthcare professionals (“Healthcare Practitioners”) to obtain medical and healthcare services (“Services”). By accessing and using the Site, you agree to be bound by these T&C’s and all other terms and policies that appear on the Site. If you do not wish to be bound by any of these T&C’s, you may not use the Site or the Services.
Healthcare Services.
By using this platform, you acknowledge that you have read and understood the
T&C’s.
The services offered via the Platform are not suitable for serious medical conditions, medical
emergencies or matters requiring immediate or urgent treatment (Emergencies). In case of doubt,
you may have to consult your medical practitioner. If you require treatment for a serious medical
condition or require immediate or urgent medical assistance, you should contact emergency services or
attend the nearest hospital /emergency center.
The services offered via the Platform, including the Telehealth Services, are not intended to be a
substitute for the ongoing involvement of your usual GP or other medical professional responsible for
managing your day-to-day healthcare needs. Patients are encouraged to schedule follow-up visits with
their primary physician to help facilitate proper holistic management of their healthcare
requirements.
You acknowledge and agree that EGS Health and Medicas are not a medical or healthcare provider and are
not liable for any medical or healthcare services, including the Telehealth Services, booked using the
Platform except to the extent expressly provided by these T&C’s. All medical and
healthcare related queries should be directed to a Healthcare Practitioner. We do not warrant or
represent that any medication or treatment (including medication or treatment provided by a Healthcare
Practitioner during a Consultation) is safe, appropriate, or effective. Specifically, EGS Health
and Medicas are not a health care provider (neither a doctor, laboratory nor pharmacy).
Information contained on the Platform (other than information provided by a Healthcare Practitioner
during a Consultation) does not constitute medical or healthcare advice. Patients should not rely
upon information on the Platform as a substitute for obtaining specific advice from a doctor or other
qualified healthcare practitioner.
Site Content.
Medical advice can only be provided by a certified health care practitioners and nothing in this
platform shall be construed as medical advice or an endorsement, representation, or warranty that any
medication, advice, or treatment is safe, appropriate, or effective, for you. Only a certified medical
practitioner can prescribe what is required for you to you.
User Accounts.
Users refer to all persons who use the platform including members, patients, doctors or other
specialists.
When you register on the Site, you are required to create an account
(“Account”) by entering your name, email address, password and certain
other information collected by Medicas (collectively “Account
Information”). To create an Account, you must be of legal age to form a binding
contract. If you are not of legal age to form a binding contract, you may not register, to use our
Services. You agree that the Account Information that you always provide to us, including during
registration and in any information, you upload to the Site, will be true, accurate, current, and
complete. You may not transfer or share your Account password with anyone or create more than one
Account (except for subaccounts established for children (under the age 0f 18) of whom
you are the parent or legal guardian). You are responsible for maintaining the confidentiality of your
Account password and for all activities that occur under your Account. Medicas reserves the right to
take all action, as it deems necessary or reasonable, regarding the security of the Site and your
Account Information. In no event and under no circumstances shall Medicas be held liable to you for any
liabilities or damages resulting from or arising out of your use of the Site, your use of the Account
Information or your release of the Account Information to a third party. You may not use anyone else's
account at any time.
Provision of Services by Specialists
Specialists are all Users of the platform who provide services. This category includes Doctors,
Instructors and other persons who provide their services at a fee.
By registering as a User, Specialists agree to conform to the following conditions during the entire
period as a User on the Platform:
- You are in good standing with your professional body.
- You are not subject to any lawsuits or claims of any nature.
- You have the necessary professional indemnity insurance as is normal for your profession and in the quantum which can reasonably protect you against any claim.
- You acknowledge that there can be no claims against EGS Health and/or Medicas which act as a platform for use. EGS Health/Medicas maximum obligation is to provide a digital platform which you can use to deliver your services to Users.
- You agree to be audited at any time to verify that you are in good standing and compliant with the conditions of use of this Platform.
- Your contractual relationship with EGS Health/Medicas is one where digital platform services are provided to you.
- If you provide services cross border, you agree to comply with the laws of the respective territories.
- You acknowledge that EGS Health/Medicas cannot be held liable for any act of omission or commission which is outside their control.
Use of the Services by Children.
The Services are not available for use by persons under the legal age of adulthood as specified by the
laws within that Country where the User is resident. All Users specifically and directly confirms that
there are of legal adult age to use this Platform.
Access Rights.
We hereby grant to you a limited, non-exclusive, non-transferable right to access the Site and use the
Services solely for your personal non-commercial use and only as permitted under these T&C’s
and any separate agreements you may have entered with us (“Access Rights”).
We reserve the right, in our sole discretion, to deny or suspend use of the Site or Services to anyone
for any reason. You agree that you will not, and will not attempt to: (a) impersonate any person or
entity, or otherwise misrepresent your affiliation with a person or entity; (b) use the Site or Services
to violate any local, state, national or international law; (c) reverse engineer, disassemble,
decompile, or translate any software or other components of the Site or Services; (d) distribute viruses
or other harmful computer code through the Site; or (e) otherwise use the Services or Site in any manner
that exceeds the scope of use granted above. In addition, you agree to refrain from abusive language and
behavior which could be regarded as inappropriate, or conduct that is unlawful or illegal, when
communicating with Healthcare Practitioners through the Site and to refrain from contacting Healthcare
Practitioners for telehealth services outside of the Site. Medicas is not responsible for any
interactions with Healthcare Practitioners that are not conducted through the Site. We strongly
recommend that you do not use the Services on public computers. We also recommend that you do not store
your Account password through your web browser or other software.
Specifically, you agree to use this platform in accordance with your local laws.
Fees and Purchase Terms.
You agree to pay all fees or charges to your Account in accordance with the fees, charges, and billing
terms in effect at the time a fee or charge is due and payable. By providing Medicas with your credit
card number or PayPal or Venmo account, or any other payment platform and associated payment
information, you agree that Medicas is authorized to immediately invoice your account for all fees and
charges due and payable to Medicas hereunder and that no additional notice or consent is required. If
your health plan, employer, or agency has arranged with Medicas to pay the fee or any portion of the
fee, or if the fee is pursuant to some other arrangement with Medicas, that fee adjustment will be
reflected in the fee that you are ultimately charged. Please check with your employer, health plan or
agency to determine if any Services will be reimbursed.
If you do not have insurance coverage for Services, or if your coverage is denied, you
acknowledge and agree that you shall be personally responsible for all incurred
expenses. Medicas offers no guarantee that you shall receive any such reimbursement.
Medicas reserves the right to modify or implement a new pricing structure at any time prior to billing
you for your initial payment or for future payments due pursuant to these
T&C’s. You understand and agree that for Services provided on an appointment
basis, you will be responsible for a missed appointment fee equal to all or a portion of the fees you
and your insurer or other payor would have paid for the scheduled services if you do not cancel a
scheduled appointment at least 24 hours in advance, unless we notify you in writing that a shorter
cancellation window applies.
Termination.
You may deactivate your Account and end your registration at any time, for any reason by sending an
email to info@egs-health.com.Medicas may suspend or terminate your use of the Site,
your Account and/or registration for any reason at any time. Subject to applicable law, Medicas reserves
the right to maintain, delete or destroy all communications and materials posted or uploaded to the Site
pursuant to its internal record retention and/or content destruction policies. After such termination,
Medicas will have no further obligation to provide the Services, except to the extent we are obligated
to provide you access to your health records or Healthcare Practitioners are required to provide you
with continuing care under their applicable legal, ethical and professional obligations to you.
Right to Modify.
EGS Health’s sites are continually under development. Changes to the sites or services may be made
at any time. EGS Health reserves the right to revise or remove any part of these Terms and Conditions in
its sole discretion at any time and without prior notice to you. Hence, you should make it a point to
visit this page periodically for changes. All changes to these T&C’s will become effective
upon posting to the sites. If you disagree with the T&C’s, your sole remedy is to discontinue
your use of the sites or services. Your continued use after a change has been posted constitutes your
acceptance of the changes.
LIMITATION OF LIABILITY AND INDEMNITY.
You acknowledge and agree that we are not liable for your medical care, the medical care of a
Patient or for any medical, healthcare or other advice (including prescriptions) given by a Healthcare
Practitioner; to the maximum extent permitted by law, we shall not be liable for any direct, indirect,
special, punitive, incidental, exemplary, contractual, or consequential damages, or any damages
whatsoever of any kind, resulting from any loss arising out of or in any way connected with your use of
the Platform; and to the maximum extent permitted by law, we are not liable for, and you indemnify us
(and our related companies, and their respective officers, employees, consultants and contractors)
against any and all claims, actions, proceedings, losses, liabilities and expenses (including legal
expenses on a full indemnity basis) in any way arising from or relating to: any treatment, advice or
information provided during a Consultation and any other services provided by a Healthcare Practitioner
to a Patient (including any medications prescribed by a Healthcare Practitioner and the quality or
suitability of any services provided by a Healthcare Practitioner); any personal injury, mishap or death
or any alleged or actual malpractice or negligence by any Healthcare Practitioner; your failure to
answer any questions truthfully, or to provide any information requested by us or a Healthcare
Practitioner; and your use of the Services offered by the Platform.
EXCEPT AS EXPRESSLY STATED IN AN AGREEMENT BETWEEN YOU AND EGS HEALTH, ALL CONTENT, SERVICES, PRODUCTS
AND SOFTWARE PROVIDED ON THE PLATFORM ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND,
EITHER EXPRESS OR IMPLIED. YOU ARE SOLELY RESPONSIBLE FOR THE APPROPRIATENESS OF THE PLATFORM, ITS
CONTENT, AND THE PRODUCTS AND SERVICES OFFERED BY US ON THE PLATFORM FOR YOUR INTENDED APPLICATION AND
USE. WE DO NOT WARRANT THAT THE PLATFORM, ITS CONTENT, OR THE PRODUCTS AND SERVICES OFFERED ON THE
PLATFORM WILL MEET YOUR REQUIREMENTS.
Nothing in these T&C’s or otherwise is intended to exclude or limit the operation of the
United States of America Consumer Protection Law or any other laws implying terms, conditions, or
warranties into contracts for the supply of goods or services which cannot be excluded. Subject to
this clause, and to the fullest extent permitted by law, all implied rights, remedies, guarantees,
conditions and warranties are hereby excluded.
Geographical Restrictions.
EGS Health makes no representation that all products, services and/or material described on the Site, or
the Services available through the Site, are available ‘for use’ in locations outside the
United States or all states and territories within the United States.
Disclosures.
All Health Practitioners performing licensed clinical services on the Site hold the professional
licenses issued by the professional licensing boards or agencies in the States / Countries where they
practice. You can report a complaint relating to the care provided by a Healthcare Professional by
contacting the professional licensing board in the State / Country where the care was
received.
Any clinical records created as a result of your use of the Services will be securely maintained by
Medicas on behalf of Medicas Practitioners for a period that is no less than the minimum number of years
such records are required to be maintained under State, Federal Law and Country Law, which is typically
at least six years.
Website Links.
EGS HEALH WILL NOT BE LIABLE FOR ANY INFORMATION, SOFTWARE, OR LINKS FOUND AT ANY OTHER WEBSITE,
INTERNET LOCATION, OR SOURCE OF INFORMATION, NOR FOR YOUR USE OF SUCH INFORMATION, SOFTWARE OR LINKS,
NOR FOR THE ACTS OR OMISSIONS OF ANY SUCH WEBSITES OR THEIR RESPECTIVE OPERATORS.
Ownership.
The Site and its entire contents, features and functionality (including but not limited to all
information, software, text, displays, images, video and audio, and the design, selection and
arrangement thereof), are owned by EGS Health, its licensors or other providers of such material and are
protected by United States and international copyright, trademark, patent, trade secret and other
intellectual property or proprietary rights laws. These T&C’s permit you to use the Site for
your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative
works of, publicly display, publicly perform, republish, download, store or transmit any of the material
on our Site except as generally and ordinarily permitted through the Site according to these
T&C’s. You must not access or use for any commercial purposes any part of the Site or any
services or materials available through the Site
Medicas Device
Medicas is the brand name associated with a Telemedicine platform solution. Medicas is not a
medical device nor is it a diagnostic tool for the determination and/or treatment of any ailment or
condition. It is a platform based on the Cloud which connects users.
Trademarks.
Certain of the names, logos, and other materials displayed on the Site or in the Services may constitute
trademarks, trade names, service marks or logos ("Marks") of Medicas or other
entities. You are not authorized to use any such Marks without the express written permission of EGS
Health. Ownership of all such Marks and the goodwill associated therewith remains with us or those other
entities.
Privacy and Communications.
EGS Health is required to comply with federal healthcare privacy and security laws and maintain
safeguards to protect the security of your health information. Additionally, the information you provide
to your Healthcare Professional during a medical consultation or therapy session is legally
confidential, except for certain legal exceptions as more fully described in our Privacy Policy. We
devote considerable effort toward ensuring that your personal information is secure. Information
regarding our use of health and other personal information is provided in our Privacy Policy.
As part of providing you with the Services, we may need to provide you with certain communications such
as appointment reminders, service announcements, privacy notices, administrative messages, and other
communications about the Services (“Communications”). These Communications
are considered part of the Services and your Account.
You understand that by checking the “agree” box for these T&C’s and/or any other
forms presented to you on the Site you are agreeing to these T&C’s and that such action
constitutes a legal signature. You agree that we may send to you Communications through electronic means
including but not limited to: (1) by email, using the address that you provided to us during
registration, (2) short messaging service (“SMS”) text message to the
mobile number you provided us during registration (“SMS Messages”), (3)
push notifications on your tablet or mobile device, or (4) by posting Communications on the Site. The
delivery of any Communications from us is effective when sent by us, regardless of whether you read the
Communication. You can withdraw your consent to receive Communications by deactivating your Account.
While secure electronic messaging is always preferred to insecure email, under certain circumstances,
insecure email communication containing personal health information may take place between you and
Medicas. Medicas cannot ensure the security or confidentiality of messages sent by email. Information
relating to your care, including clinical notes and medical records, are stored on secure, encrypted
servers maintained by EGS Health.
SMS Messages T&C’s
Subscription
Program Eligibility: The Diabetes Management Program is available to individuals aged 18 and above who
have been diagnosed with diabetes or are at risk of developing diabetes. Participation in the program is
subject to medical evaluation and approval.
Program Duration: The program duration is 4-6 weeks, which includes two virtual consultations with
Endocrinologists/Diabetologists, a 4-12-week program, and access to dietary counseling from our doctors.
Personalized Consultations: The virtual consultations with our Endocrinologists/Diabetologists are
designed to provide personalized guidance and support. These consultations are intended for educational
purposes and are not a substitute for in-person medical care. Our doctors will review your medical
history, provide recommendations, and answer your questions related to diabetes management.
Lab Tests: The program includes lab tests such as HbA1C, KFT (Kidney Function Test), and CBC (Complete
Blood Count). These tests are aimed at assessing your health status and may help in monitoring your
progress. However, it's important to note that these tests do not replace regular medical check-ups and
should not be considered as a comprehensive diagnostic evaluation.
Dietary Counseling: Our team of doctors will provide dietary counseling to guide you towards making
healthier food choices. However, it's essential to consult with a registered dietician or nutritionist
for a comprehensive and personalized meal plan based on your specific dietary needs and preferences.
Communication Facilitation: Our dedicated team will facilitate communication between you and the doctors
to ensure seamless interaction and address any queries or concerns you may have during the program.
Please note that response times may vary, and urgent or emergency medical situations should be directed
to appropriate healthcare providers.

Results Disclaimer: Individual results may vary, and outcomes cannot be guaranteed. The effectiveness of
the Diabetes Management Program may depend on various factors, including individual health conditions,
adherence to recommended guidelines, and lifestyle modifications.
Program Modification: We reserve the right to modify, alter, or discontinue the Diabetes Management
Program, including any features, benefits, or components, without prior notice. We will make reasonable
efforts to communicate such changes to enrolled participants.
Data Privacy: We prioritize the privacy and confidentiality of your personal information. All data
collected during the program will be handled in accordance with applicable data protection laws and our
privacy policy.
Legal Compliance: By enrolling in the Diabetes Management Program, you agree to comply with all
applicable laws, regulations, and guidelines related to your participation, including those governing
the use of the provided materials and resources.
Cancellation: You can cancel your Medicas Subscription at any time, and you will continue to have access
to the subscription service through the end of your billing period. To the extent permitted by the
applicable law, payments are non-refundable and we do not provide refunds or credits for any partial
subscription periods or unused subscription plans or offers or services. We do not save any payment
methods with us. To cancel, go to the "Profile - Subscription" and follow the instructions for
cancellation. If you cancel your subscription, your subscription will automatically close at the end of
your current billing period. To see when your subscription will close, click "Subscription" on the
"Profile". End of subscription will not have any impact on any other services offered by Medicas. All
subscription active, suspended, cancelled are non-transferrable Changes to the Price and Subscription
Plans. We may change our subscription plans or discontinue the subscription programs, including any
features, benefits, price, or components, without prior notice. We will make reasonable efforts to
communicate such changes to enrolled participants.
Miscellaneous.
These T&C’s and your use of the Site shall be governed by the laws of the State of Wisconsin,
United State of America, without giving effect to the principles of conflict of laws.
ANY DISPUTE ARISING UNDER OR RELATING IN ANY WAY TO THESE T&C’s WILL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION IN SAN FRANCISCO, CALIFORNIA UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION, EXCEPT THAT EITHER PARTY MAY BRING A CLAIM RELATED TO INTELLECTUAL PROPERTY RIGHTS OR SEEK TEMPORARY AND PRELIMINARY SPECIFIC PERFORMANCE AND INJUNCTIVE RELIEF, IN ANY COURT OF COMPETENT JURISDICTION, WITHOUT THE POSTING OF BOND OR OTHER SECURITY. ALL CLAIMS, WHETHER IN ARBITRATION OR OTHERWISE, MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR COLLECTIVE PROCEEDING.
The parties agree to the personal and subject matter jurisdiction and venue of the courts located in
San Francisco, California, for any action related to these T&C’s.
No waiver by EGS Health of any term or condition set forth in these T&C’s shall be deemed a
further or continuing waiver of such term or condition or a waiver of any other term or condition, and
any failure of EGS Health to assert a right or provision under these T&C’s shall not
constitute a waiver of such right or provision. If any provision of these T&C’s is held by a
court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any
reason, such provision shall be eliminated or limited to the minimum extent such that the remaining
provisions of the T&C’s will continue in full force and effect.
EGS Health devotes considerable effort to optimizing signal strength and diagnosis deficiencies but is
not responsible for the internet or data bandwidth and signal of your mobile device.
